The online services and information are collectively called (the “Services”) at (collectively, the “Website”) to our users (“Users” or “You”) under the following Terms and Conditions of Use Agreement (these “Terms” or the “Agreement”).
This Agreement applies to this Website, the App (as defined below) and our online Services. PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS, YOU MUST NOT ACCESS OR USE THIS SITE AND/OR THE SERVICES. As a Reciprocare User, Users agree to be bound by this Agreement, whether You are a “Visitor” (which means that You simply browse the Website) or a “Registered User” (which means that You have registered with the Website or Services).
You also acknowledge and agree that we may modify this Agreement at any time, in our sole discretion; that all modifications to this Agreement will be effective immediately upon our posting of the modifications on this Website. You agree that You will review this Agreement regularly, so that You are aware of and agree to any and all modifications made to this Agreement. If You object to any such changes, Your sole recourse will be to cease using the Website and Services. Use of our Website or Services after updates are posted and effective constitutes acceptance of any changes.
The Website is not directed to children. You must be at least 17 years of age to use our Website or Services. You may not sign up using a false identity, and you may not sign up or submit information on behalf of any third party. If we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we may suspend or terminate Your use of the Website or Services (or any portion thereof).
a. VISITORS. You do not have to register with us to browse our website, however certain areas of the website is restricted to Registered Users. Visitors may browse the Website in accordance with this Agreement.
b. REGISTERED USERS. You may become a Registered User by creating an account through our Website. When You sign up, You will be required to enter Your name, residential address, email address, phone number and other contact information. You must also select whether you are a Job Seeker (e.g. Caregiver) or an Employer (e.g. Home care, hospice or staffing agency), and will be provided additional fields to complete your profile accordingly. There are two main classes of Reciprocare Users: Job Seekers and Employers. Job Seekers are individual long term care professionals who access Reciprocare’s Website and Services to post information about their professional skills, credentials, preferences and availability to seek a job with a home care, hospice or staffing agency. Employers are agencies that access Reciprocare's Website and Services to seek to fill agency openings and needs for specialized workers.
After you have completed the Registration process, you will be permitted access to the Services.
4. ACCESS RIGHTS.
We hereby grant to You a limited, non-exclusive, non-transferable license to access the Website and use the Services only as permitted under this Agreement (“Access Rights”). You agree not to use of the Website or Services or access to the Website or Services for any purposes other than those for which the Website or Services are being provided to You. Use of the Website requires that You comply with further acceptable use policies we may establish from time to time.
You understand and acknowledge that the Website and Services are the property of Reciprocare, and You may not prepare derivative works of, modify, distribute, sell, lease, rent, sublicense, crawl, scrape, assign, export, or transfer in any other manner the Services, information displayed on the Services, the Website, or any underlying software, technology, or other information, including any printed materials of the same, unless expressly authorized hereunder. Any use of third party software provided in connection with the Website or Services will be governed by such third parties’ licenses and not by this Agreement.
We reserve the right, in our sole discretion, to deny use of the Website or Services to anyone for any reason. You acknowledge and agree that we, in our sole discretion, at any time and with or without notice, may block or terminate Your or any other party’s access to all or part of the Website or Services, or change or discontinue any aspect or feature of the Website or Services (including, without limitation, discontinuing the Website in its entirety). If You object to any such changes to our Website or Services, Your sole recourse will be to cease using the Website and Services. Without limitation of any other provisions of this Agreement, we reserve the right to take any actions at law or in equity that we deem appropriate in connection with the Website, Services, and this Agreement.
5. YOUR RESPONSIBILITIES AND ACCEPTABLE USE OF THE SITE AND SERVICE. Reciprocare is not an employment agency, nor a residential services agency, nor a staffing agency, nor a home healthcare agency, nor a background check service. Reciprocare provides a platform for Users to create profiles, search for, and connect with others in the Eldercare industry. Employers may post jobs and Job Seekers may apply for jobs. Reciprocare We provide a venue to connect Employers (those seeking employees to provide skilled and non-skilled care services to the Employer’s clients) with Job Seekers (individuals seeking to provide skilled and non-skilled care services to the Employer’s clients). In addition, Reciprocare may in the future launch and/or operate one or more mobile applications providing similar functionality via mobile devices (the "App"). Neither the Website nor the App is intended to allow individuals to find care for themselves or loved ones, and use of the Site or Application in that manner is prohibited. Users represent and warrant that the Reciprocare Website and Services shall be used in compliance with all applicable local, state, national or international laws and regulations, including but not exclusive to those related to privacy, employment, and health and human services and home care agency requirements. You further represent and warranty that the Reciprocare Website and Services shall not be used in a way that violate the rights of any third party. Use of the Website or Services for any illegal purpose is strictly prohibited and a violation of these Terms.
You agree not to use the Website or Services in any manner that: (a) threatens, stalks, harasses, abuses, defames, slanders, or in any other way harms another individual; (b) collects or stores personal data about other Users without their consent, or otherwise prepares, compiles, uses, downloads or copies any User information and/or usage information or any portion thereof, or transmits, provides, or otherwise distributes (whether or not for a fee) such information to any third party without the User’s consent; (c) impersonates any person or entity, misrepresents Your affiliation with a person or entity, or otherwise creates a false identity for the purpose of misleading others; (d) infringes someone else’s patent, trademark, trade secret, copyright, or other intellectual property or other rights; (e) is vulgar, gratuitously violent, obscene, pornographic, indecent, lewd, libelous, invasive of another’s privacy, or racially, ethnically, or otherwise offensive or abusive; (f) advocates or solicits violence, criminal conduct, or the violation of any local, state, national, or international law or the rights of any third party; (g) promotes sexually explicit or pornographic material; (h) discriminates on the based on race, sex, religion, nationality, disability, sexual orientation, gender identity or age; (i) constitutes unsolicited or unauthorized advertising, junk or bulk email (spam), chain letters, or any other unsolicited commercial or non-commercial communication; or (j) transmits any material or communications that contain a charity request, petitions for signatures, chain letters, or letters relating to a pyramid scheme.

6. USER COMMUNICATIONS.
The Website may contain job boards, bulletin boards, messaging, or other certain interactive features (collectively, “Interactive Services”) that allow Users to communicate with other Users (collectively, “User Communications”) on or through the Website or Services. All communications must comply with these Terms.
Unless otherwise set forth on this Website, any non-personal information, communications, and/or material You send to or through this Website, or to us by email or other means, is provided on a non-confidential and non-proprietary basis, and You grant us and other Users a non-exclusive, royalty-free, perpetual, world-wide, irrevocable, sub-licensable and transferable right and license to use, reproduce, create derivative works of, distribute, or publicly display any such information freely, and for any purpose whatsoever. Specifically, we will be free to use any ideas, concepts, know-how, or techniques contained in such information for any purpose, including developing, manufacturing or marketing products. Employers access Reciprocare’s Website and Services to seek to fill job openings and meet their customer's’ needs for paid Job Seekers. 
Users may provide Reciprocare with information when they register for our Services and update their User profile on our Website, send it to us, authorize us to collect it on their behalf, or otherwise provide it to us in any way.
Reciprocare may also collect information about Users automatically. We automatically collect information about how Users access our Website, the areas of our Website that Users visit, as well as information about Users’ computer or mobile devices including IP address, device ID, physical location, browser and operating system type, and referring URLs. This information is necessary for providing personalized and location-based content as well as for analyzing web traffic, troubleshooting problems, preventing fraud, and improving our Services.
Reciprocare may collect the following information from Job Seekers:
· Personal Information, which Job Seekers provide directly to Reciprocare. This includes contact information, resume, credentials, skills, preferences, availability, and other profile information;
· Username and password for any account that a Caregiver may establish on the Reciprocare Website; and
· Other details and documents to complete the Caregiver’s profile, such as photographs, certifications and references that Job Seekers may submit to us or otherwise authorize Reciprocare to collect and disclose on their behalf.
Reciprocare may collect the following information from Agency Users:
· Agency profile information, including contact information, agency license number, benefits, descriptions, and other photographic, video or written content to complete the agency profile;
· Username and password for any account that the Agency User may establish on the Reciprocare Website;
· Information on positions available through the Agency;
· Requirements for applying to positions with the Agency;
· Agency information necessary for payment and processing of Agency subscriptions to our Services.
· Other details that are included in the information Agency Users may submit to us.
2. INFORMATION USE
Reciprocare may use the information it collects in the following ways:
· To operate, maintain, and manage our Website, including User accounts and profiles;
· To provide products or services Users request;
· To process, validate, and deliver Agency User subscriptions and payments;
· To maintain a record of Agency postings, Job Seekers posting views or applications;
· To inform Agency Users of Job Seekers that match their open positions, and inform Job Seekers of relevant agencies or agency postings that may be of interest to them;
· To provide administrative notices or communications applicable to Job Seekers;
· To respond to Job Seekers’ questions and comments and provide customer support;
· To communicate with Users about our Services and other information we believe may be of interest to them, and to enable Users to communicate with us. These communications will contain links for preference management and, where appropriate, unsubscribe links should Users decide they do not want to receive further communications;
· To operate, evaluate, and improve our business and the products and Services we offer;
· To analyze and enhance our communications and strategies (including by identifying when emails we have sent to Users have been received and read);
· To analyze trends and statistics regarding use of our Website;
· To protect against and prevent fraud and enforce our Terms and Conditions; and
· To comply with applicable legal requirements, industry standards, and our policies.
Reciprocare may also combine certain non-personally identifiable Aggregate Data about Users and use such anonymous Aggregate Data to prepare reports for our Users. “Aggregate Data” may include demographic information (such as zip code, age, gender, race, or ethnicity) and employment information (such as occupation, education, and experience) to better understand the caregiver market. Aggregate Data is used to analyze the characteristics of various populations and does not identify any specific individuals.
3. INFORMATION SHARING
When posting jobs and application materials, Users will have the option to decide to display or not display their information. Users should be aware, however, that when they choose to display or distribute Personal Information (such as their email address or other contact information on a public resume or profile) via our Website or any other distribution method, that information can be collected and used by others. This may result in unsolicited messages from third parties, for which Reciprocare is not responsible.
We also may share Personal Information with our service providers who help us in the delivery of our products and Services to Users. These service providers may only use or disclose the information as necessary to perform services on our behalf or as otherwise required by law.
Reciprocare also may disclose specific User information when we determine, in good faith, that such disclosure is necessary to comply with the law, to cooperate with or seek assistance from law enforcement, to prevent a crime or protect national security, or to protect the interests or safety of or other Users of our Website.
In addition, Personal Information we have collected may be disclosed to third parties in the event of a merger, transfer of ownership, sale of assets, bankruptcy or other corporate reorganization.
4. RESUME PRIVACY OPTIONS
Posting Your information on our Website puts Job Seekers in front of Employer Users at any time. We attempt to limit access to our searchable database to legitimate paying Agency Users, and Users may remove application materials from our searchable database at any time. But Reciprocare cannot guarantee that other third parties will not gain access to any materials you submit on our Website or Services. Further, Agency Users who have paid for access to the Services and or those to whom you have submitted information or an application may have retained a copy of your profile or application materials in their own files or databases. We cannot control the retention or use of information that has been retained by third parties.
5. CHILDREN’S PRIVACY
We do not knowingly collect or solicit information from anyone under the age of 17. If You are under 17, please do not use the Website. In the event that we learn that we have collected personal information from a child under the age of 17, we will delete that information as quickly as possible.
6. COOKIES, TRACKING TECHNOLOGIES, AND THIRD PARTY ADVERTISERS
Our Website may also contain cookies from third parties, including advertising companies and Agency Users. We may use third-party advertising companies who may place or access cookies on Users’ computers to keep track of information relating to ads on Users’ web browsers, such as the type of ads shown and the webs pages on which the ads appeared. These companies may use information about Users’ visits to these sites and to other sites in order to provide advertisements about goods and services of interest to Users on our Website or on other, third party, sites. We also may give third party advertisers the ability to tailor their advertisements on our Website using demographic and preference information we provide to them in aggregate form. This information does not identify Users individually. In addition, some of the Agency Users that use our Website may place cookies on Your computer through their job postings and may use such cookies to distinguish Your web browser uniquely. Agency Users may use such information to track the effectiveness of their job postings by measuring how many Users who view their postings later became job applicants. Reciprocare does not have control over or access to any information collected by cookies or other tracking technologies by third parties.
7. UPDATING OR DELETING ACCOUNT INFORMATION
Users may access, update, and amend Personal Information included in online accounts and profiles at any time by logging into the account and making the necessary changes. Users may also delete accounts, including Personal Information and any resumes or related information from our databases, at any time by logging into the account and making an account deletion request. Deleting a User account will remove Personal Information and resumes from our databases. However, if Job Seekers have applied to an Agency User job in the past, that particular Agency User will still be able to access the Caregiver resume. Further, Job Seekers will not be able to delete data held by Agency Users who have already accessed and downloaded the information. In addition, Reciprocare will retain anonymous Aggregate Data for uses described above. Please allow up to thirty days to process Your account deletion request.

Our Website may contain links to third party sites for Your convenience and information, and such links do not represent Reciprocare's affiliation, sponsorship or endorsement of those third party sites. Reciprocare is not responsible for the content of any sites not owned by Reciprocare, any use of those sites, or those sites’ privacy practices.
9. DATA STORAGE AND PROTECTION
Information collected on our sites and applications is stored in the United States; User information is subject to U.S. law and by using our website you consent to the transfer and processing of your personal information in the United States.
Reciprocare takes steps to protect the Personal Information on our Website. But no electronic transmission of information or Website can be entirely secure, and we cannot guarantee the security of information on this site and Users should not expect that Personal Information will always remain private. Use of our website is at your own risk.
